These Terms of Service ("Terms") govern your access to and use of our website located at www.heythereleila.com and any related mobile applications, content, products, and services (collectively, the "Services"). PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

1. Eligibility & Account Responsibility

1.1 You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By using the Services, you represent that you meet this requirement.

1.2 You agree to provide accurate, current, and complete information when creating an account and to keep your login credentials confidential. You are responsible for all activities that occur under your account.

2. Changes to the Terms or Services

We may update these Terms or modify the Services at any time in our sole discretion. If we make material changes, we will notify you by posting the revised Terms. Continued use of the Services constitutes acceptance of the revised Terms.

3. Intellectual Property & Limited License

3.1 All content on the Services—including text, graphics, logos, photographs, illustrations, artwork, software, and designs—is owned by HTL or its licensors and is protected by U.S. and international intellectual‑property laws.

3.2 Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Services without our prior written consent.

4. Prohibited Conduct

You agree NOT to:

  • Use the Services for any unlawful purpose;

  • Infringe or violate any intellectual‑property or privacy rights;

  • Interfere with or disrupt the security or integrity of the Services;

  • Reverse engineer, decompile, or disassemble any portion of the Services;

  • Use automated means (e.g., bots, spiders) to access the Services.

5. Orders, Pricing & Payment

5.1 All prices are listed in U.S. dollars. We reserve the right to change prices at any time without notice.

5.2 By placing an order, you represent that all information provided is accurate and complete and that you are authorized to use the payment method provided.

5.3 Your order is an offer to buy, which we may accept or reject in our sole discretion. If we cancel an order after payment, we will refund the amount paid.

6. Shipping & Delivery

6.1 We ship worldwide from Austin, TX. Shipping costs and delivery estimates are provided during checkout. Actual delivery times may vary.

6.2 Risk of loss passes to you upon our delivery of the order to the carrier. We are not responsible for delays, loss, or damage caused by the carrier.

7. Returns & Refunds

7.1 All products from Hey There Leila are made to order. As such, we do not accept returns or offer refunds for orders placed in error or for changes of mind.

7.2 If you receive an item that is damaged, incorrect, or not what you expected, please contact us at sendit@heythereleila.com within 7 days of receiving your order. Include your name, order number, and a description of the issue with photos, and we’ll do our best to resolve it.

7.3 Hey There Leila reserves the right to approve or deny refund or replacement requests on a case-by-case basis.

7.4 Approved refunds will be issued to the original payment method. Shipping charges are non‑refundable unless we made an error.

8. Promotions & Discount Codes

Promotional codes are limited to one per order, cannot be combined, and may be subject to additional terms. We reserve the right to cancel promotions at any time.

9. Disclaimer of Warranties

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR‑FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HTL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO THE SERVICES OR PRODUCTS, EVEN IF HTL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL HTL’S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO HTL FOR THE ORDER GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless HTL and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your (a) use of the Services, (b) or violation of these Terms or any law.

12. Governing Law & Jurisdiction

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

13. Dispute Resolution & Arbitration

13.1 Informal Resolution. Before initiating arbitration, the parties agree to attempt to resolve any dispute informally by emailing sendit@heythereleila.com. If a resolution is not reached within 30 days, either party may commence arbitration.

13.2 Binding Arbitration. All claims (except those that may be brought in small‑claims court) shall be resolved by confidential, final, and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Austin, TX, unless the parties agree otherwise.

13.3 Class Action Waiver. You and HTL agree to resolve disputes only on an individual basis and not as a plaintiff or class member in any class or representative proceeding.

14. Severability

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or agreements referenced herein, constitute the entire agreement between you and HTL regarding the Services and supersede all prior understandings.
